Welcome to eddeAi! These Terms of Service ("Terms") govern your access to and use of eddeAi's AI-powered image generation platform and services (the "Services"). Please read these Terms carefully before using our Services.

Agreement to Terms

By accessing or using eddeAi, you agree to be bound by these Terms and our Privacy Policy and Content Policy. If you do not agree to these Terms, you may not use our Services.

About eddeAi

eddeAi is an AI image generation platform that allows you to:

  • Upload training images to create personalized AI models
  • Generate custom images using your trained models and text prompts
  • Manage and organize your AI models and generated content

Our Services combine your uploaded images with advanced AI technology to create unique image generations based on your prompts.

Age Requirements

You must be at least 16 years old to use eddeAi. If you are under 16, you may only use our Services with the consent and supervision of a parent or legal guardian. If you are a parent or guardian allowing a minor to use our Services, you agree to be responsible for their use of the Services and compliance with these Terms.

By using our Services, you confirm that you meet the minimum age requirement in your jurisdiction and have the legal capacity to enter into this agreement.

Account Registration

To use certain features of eddeAi, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Protect the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access to your account

Model Creation and Training

Training Image Requirements

When creating an AI model, you must:

  • Upload between 5 and 10 training images
  • Ensure all uploaded images meet our technical requirements
  • Select an appropriate class type for your model
  • Agree to the model creation terms (outlined below)

Model Creation Terms and Conditions

By creating a model on eddeAi, you acknowledge and agree that:

Ethical Use: You confirm that you are using eddeAi's services ethically and responsibly, in compliance with all applicable laws and regulations.

Image Ownership and Permissions:

  • You confirm that all images you upload are either:
    • Your own original images, OR
    • Images for which you have obtained explicit written permission from the copyright holder
  • You understand that using images without proper authorization may result in legal consequences, including but not limited to copyright infringement claims
  • You agree to indemnify eddeAi against any claims arising from your use of unauthorized images

Responsible Model Usage: You agree to use any generated models and their outputs responsibly and in compliance with:

  • These Terms of Service
  • Our Content Policy
  • All applicable local, national, and international laws
  • Ethical guidelines for AI-generated content

Training Process:

  • You understand that model training typically takes approximately 15-20 minutes
  • Each model creation consumes 1 model credit from your account
  • Training may fail due to technical issues, and credits may still be consumed
  • We do not guarantee the quality or suitability of trained models for your specific use case

Content Moderation: You acknowledge that we may review your training images and generated content for compliance with our Content Policy and may remove or reject content that violates our policies.

Image Generation

Using Your Models

Once your model is trained, you can generate images by providing text prompts. You are responsible for:

  • Ensuring your prompts comply with our Content Policy
  • Using generated images in accordance with these Terms
  • Respecting the rights of others when using generated content

Prompt Guidelines

Your prompts must not request content that:

  • Violates our Content Policy
  • Infringes on intellectual property rights
  • Depicts illegal activities
  • Harms or discriminates against individuals or groups
  • Misleads or deceives others

Ownership and Rights

Your Content

You retain ownership of:

  • The training images you upload
  • The text prompts you provide
  • The images generated using your models (subject to the limitations below)

AI-Generated Content Ownership

Under Canadian copyright law, copyright protection generally requires human authorship. AI-generated content may not qualify for copyright protection in Canada. However, to the extent permitted by law:

  • As between you and eddeAi: You own the specific images generated using your models and prompts
  • eddeAi's Rights: We grant you a license to use, reproduce, display, and commercialize the images you generate, subject to your compliance with these Terms
  • No Resale: We will not resell or commercially exploit your generated images without your permission
  • No Copyright Claims: We will not assert copyright in your generated images against you or your end users

Important Limitations:

  • Similar or identical images may be generated by other users using their own prompts
  • Your rights extend only to the specific images you generate, not to the underlying AI model or technology
  • Copyright laws vary by jurisdiction; you are responsible for understanding the copyright status of AI-generated content in your jurisdiction

Intellectual Property Infringement

You are solely responsible for ensuring that:

  • Your training images do not infringe on the rights of others
  • Your prompts do not request content that infringes on intellectual property
  • Your use of generated images does not violate any third-party rights

If you violate intellectual property rights, you may lose the right to use your generated content, and we may suspend or terminate your account.

Use of Generated Images

Subject to your compliance with these Terms and our Content Policy, you may use generated images for:

  • Personal projects
  • Commercial purposes (including selling, licensing, or incorporating into works)
  • Any other legal purpose

You must:

  • Comply with all applicable laws in your jurisdiction
  • Respect the rights of others
  • Not use images in ways that violate our Content Policy
  • Disclose AI involvement when required by law or ethical guidelines

Credits and Payments

Model Credits

  • Model creation requires credits, which are consumed when training begins
  • Credits may be purchased through our pricing plans or obtained through promotions
  • Credits expire one year after purchase unless otherwise stated
  • Credits are non-refundable except as required by law

Pricing

  • We reserve the right to change our prices at any time
  • Price changes will be posted on our pricing page
  • Your continued use of our Services after price changes constitutes acceptance of the new prices

Refunds

Refund policies are governed by the Ontario Consumer Protection Act and other applicable laws. We will process refunds in accordance with applicable consumer protection regulations.

Storage and Data Retention

Automatic Deletion

  • Generated images, training images, and models are automatically deleted 30 days after model training is completed
  • You may manually delete your models, training images, and generated images at any time before automatic deletion
  • Deleted content cannot be recovered

Data Backup

We recommend downloading and backing up any content you wish to keep, as we are not responsible for data loss.

Service Availability and Modifications

No Guarantees

While we strive to provide reliable Services, we make no guarantees that:

  • Our Services will be available at all times
  • The Services will function without errors or interruptions
  • Generated images will meet your specific requirements
  • Training will always succeed

Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any part of our Services at any time
  • Change features, functionality, or availability without notice
  • Impose limits on usage or access to certain features
  • Update our AI models and technology

"As Is" Service

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Course of performance

Prohibited Uses

You agree not to:

  • Violate our Content Policy
  • Use our Services for illegal purposes
  • Infringe on intellectual property rights
  • Harm, harass, or discriminate against others
  • Attempt to reverse engineer or extract our AI models
  • Interfere with or disrupt our Services
  • Use automated systems to access our Services without permission
  • Share your account credentials with others

Termination

We may suspend or terminate your account if you:

  • Violate these Terms or our Content Policy
  • Engage in illegal activity
  • Infringe on intellectual property rights
  • Abuse or harm our Services or other users

You may terminate your account at any time by contacting us at support@edde.ai.

Upon termination, your right to use our Services will immediately cease, and we may delete your account and content in accordance with our data retention policies.

Limitation of Liability

To the maximum extent permitted by law, eddeAi and its directors, officers, employees, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Loss of goodwill or reputation
  • Costs of substitute services
  • Any other intangible losses

This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from or related to our Services shall not exceed the amount you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless eddeAi and its directors, officers, employees, agents, suppliers, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Intellectual property infringement claims related to your content
  • Your violation of applicable laws

Dispute Resolution and Governing Law

Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from or relating to these Terms or our Services shall be resolved in the courts of Ontario, Canada. You consent to the exclusive jurisdiction and venue of such courts.

International Users

While our Services are available globally, these Terms are governed by Canadian law. If you are located outside of Canada, you are responsible for ensuring your use of our Services complies with the laws of your jurisdiction. However, any legal disputes will be resolved in accordance with Canadian law and the jurisdiction of Ontario courts.

AI Ethics and Responsible Use

Bias and Discrimination

We are committed to preventing bias and discrimination in our AI systems. We implement measures to:

  • Identify and mitigate biases in our AI models
  • Ensure fair and equitable treatment of all users
  • Comply with the Ontario Human Rights Code and other anti-discrimination laws

Human Oversight

We maintain human oversight of our AI systems and content moderation processes to ensure ethical use and compliance with our policies.

Transparency

We are transparent about our use of AI technology and encourage you to be transparent about your use of AI-generated content.

AIDA Compliance

We monitor developments in the Artificial Intelligence and Data Act (AIDA) and other AI regulations to ensure ongoing compliance with evolving legal requirements.

Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated through email or prominent notices on our Services. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.

It is your responsibility to review these Terms periodically for changes.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Content Policy, constitute the entire agreement between you and eddeAi regarding your use of our Services.
